Terms of Service for Transcrio

These Terms of Service govern your use of the Transcrio website, macOS app, account tools, transcription workflow, summaries, and related services.

Acceptance and scope

By accessing or using Transcrio, you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the service.

These Terms apply to your access to and use of the Transcrio website, macOS app, account area, transcription features, summaries, and related product functionality. Purchases made through Paddle Checkout are also subject to Paddle's buyer terms and refund policy, the checkout flow shown to you, and the support-routing information on our Refund Policy page.

Accounts and eligibility

  • You must be legally able to enter into a binding agreement in your jurisdiction.

  • You must provide accurate account information and keep your login access secure. You are responsible for activity that happens through your account unless the law says otherwise.

  • We may suspend or limit access if we reasonably believe an account is being used unlawfully, fraudulently, abusively, or in a way that threatens the service.

Recording, content, and legal compliance

Transcrio is a local-first recording product. Your Mac keeps the main local copies of recordings and outputs. If transcription or summary features are enabled, we may route audio or transcript content through our backend and providers such as AssemblyAI and OpenAI to provide those features.

  • You must obtain all notices, permissions, and consents required by applicable law before recording, uploading, transcribing, summarizing, or sharing content.

  • You remain responsible for the content you record, upload, submit, or generate through your use of the service, and for using Transcrio in compliance with privacy, surveillance, wiretapping, employment, export-control, sanctions, intellectual-property, and other applicable laws.

  • We may refuse, restrict, or remove access to content or features if we reasonably believe there is legal, safety, abuse, or policy risk.

Ownership and acceptable use

  • You keep ownership of the content you lawfully provide, subject to the rights needed for us and our providers to operate the service.

  • You give us a limited, non-exclusive right to host, transmit, process, temporarily store, moderate, transcribe, summarize, and otherwise handle your content only as needed to provide, secure, support, and improve the service. We do not intend to use our backend as long-term storage for your audio, transcript text, or summary text.

  • We keep all rights in the Transcrio service, software, design, branding, and related intellectual property, except for your content and any rights that cannot legally be restricted.

  • You must not copy, reverse engineer, resell, sublicense, or otherwise exploit the service, except as allowed by law.

  • You must not interfere with security, rate limits, account boundaries, authentication, or usage controls.

  • You must not use bots, scripts, or abusive automation to scrape, overload, or destabilize the service.

  • You must not use the service to create, transmit, or process unlawful, infringing, deceptive, harassing, hateful, or harmful material, or misrepresent your identity, affiliation, or authority to record or submit content.

Customer Content and data processing

You decide whether to record, upload, transcribe, summarize, or share content through Transcrio. You remain responsible for the notices, permissions, consents, and legal basis required for that decision.

Transcrio acts as an independent controller for its own account, billing, support, security, telemetry, and compliance data. If you use Transcrio for business, professional, educational, or organizational processing of customer-submitted recordings, transcripts, summaries, titles, descriptions, speaker names, or similar content, Appendix 1 below applies to that customer-content processing.

Indemnity

  • To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Transcrio and Edgar Klimov from and against third-party claims, liabilities, damages, losses, and reasonable legal fees arising out of or related to your recordings, uploads, transcripts, summaries, or other content submitted through the service.

  • This includes claims arising out of your failure to provide required notices or obtain required permissions or consents, your violation of applicable privacy, surveillance, wiretapping, employment, intellectual-property, or other law, or your violation of these Terms or third-party rights.

  • This indemnity does not apply to the extent a claim results from Transcrio's own unlawful conduct, gross negligence, or willful misconduct where such a limitation is not permitted by law.

Disclaimers and limitation of liability

  • Transcrio, transcripts, summaries, and related outputs are provided on an “as is” and “as available” basis to the extent permitted by law.

  • We do not guarantee uninterrupted availability, perfect transcription accuracy, perfect summary quality, or fitness for a particular legal, medical, employment, compliance, or business purpose.

  • Transcrio is not legal, accounting, tax, employment, medical, or other professional advice. You should verify important outputs yourself.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost data, or loss of goodwill arising from or relating to your use of the service.

To the maximum extent permitted by law, our total liability for claims arising out of or relating to the service will not exceed the greater of the total amount you paid for the specific Transcrio paid feature that gave rise to the claim in the 12 months before the event giving rise to the claim, or CAD $100.

Some jurisdictions do not allow certain disclaimers or liability limitations, so parts of this section may not apply to you.

Changes and termination

We may change, improve, limit, suspend, or discontinue features, plans, integrations, or availability for security, legal, provider, technical, or business reasons.

If we make a material adverse change to a core paid feature for current paid users, we will try to give at least 14 days' advance notice unless shorter notice or immediate effect is required for legal compliance, security, fraud prevention, abuse prevention, or a provider or platform action outside our reasonable control. If we materially discontinue a core paid feature included in your current prepaid term and do not provide a substantially similar replacement, any refund, withdrawal, or other payment-related rights for a Paddle Checkout purchase remain governed by applicable law, Paddle's buyer terms, Paddle's refund policy, and the checkout flow shown to you.

You may stop using Transcrio at any time. We may suspend or terminate access immediately if we reasonably believe you breached these Terms, created legal or security risk, or used the service abusively or unlawfully.

We may update these Terms from time to time by posting the updated version on the website and updating the last updated date. If you do not agree to the revised Terms, you must stop using the service before the revised Terms take effect. Your continued use of Transcrio after the revised Terms take effect means you accept them. Sections that by their nature should continue after termination remain in effect.

Governing law

Unless applicable law requires otherwise, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules.

Unless applicable law requires otherwise, you and Transcrio submit to the courts located in Ontario, Canada for disputes arising out of or relating to these Terms or the service.

We may send legal, operational, or billing notices to the email address on your account, through the service, or by posting them on the website where appropriate. If any provision of these Terms is held unenforceable, the rest remain in effect to the fullest extent permitted by law.

Appendix 1: Data Processing Addendum

This appendix applies when you use Transcrio to process personal data in customer-submitted content for your own business, professional, educational, or organizational purposes and applicable law requires controller-processor or similar data-processing terms.

  • Scope: personal data contained in customer-submitted recordings, transcripts, summaries, titles, descriptions, speaker names, and related workflow context processed through Transcrio for the customer's own business, professional, educational, or organizational purposes.

  • Roles: for that customer-submitted content, the customer is the controller or comparable primary privacy role, and Transcrio acts as processor or comparable service provider. Transcrio remains its own controller for account, billing, support, security, telemetry, and compliance data.

  • Instructions: the customer instructs Transcrio through its use of the service, feature settings, uploads, requests for transcription or summary, and related written support requests consistent with these Terms.

  • Duration: this appendix applies for as long as Transcrio processes that customer-submitted content for the customer, subject to the retention limits and deletion model described in the Privacy Policy.

  • Transcrio will process that customer-submitted content only as needed to provide, secure, and support the service under the customer's documented instructions.

  • People authorized to handle that content are subject to confidentiality obligations, and Transcrio uses reasonable technical and organizational safeguards appropriate to the nature of the service.

  • Transcrio may use subprocessors that help operate the service, including Supabase, Vercel and related hosting providers, AssemblyAI, and OpenAI, as applicable to the requested feature. The customer gives general written authorization for those subprocessors.

  • Taking into account the nature of the processing and the information available to us, Transcrio will provide reasonable cooperation for requests involving data subject rights, security incidents, or deletion/return expectations that specifically concern that customer-submitted content.

If this appendix conflicts with the rest of these Terms on customer-content processor obligations, this appendix controls for that processor scope.

These Terms are between you and Edgar Klimov, an individual based in Ontario, Canada, who operates the Transcrio website and software. “Transcrio” is the name of the product and service.

Product support, privacy questions, and legal notices about these Terms are handled in writing at team@support.transcrio.com. Billing support, refunds, subscription cancellation, payment method updates, invoices, and chargeback-related questions for purchases made through Paddle Checkout may be handled through Paddle's buyer support tools and customer portal at paddle.net.
